Please read these Terms of Service ("ToS") carefully before accessing the Orbital platform (the "Platform") or using its features.

By clicking "I agree," or by accessing and using the Platform, you expressly acknowledge that you have read, understood, and accepted, on your own behalf and/or that of your organization ("you" or the "Customer"), all terms of this license agreement (the "Agreement") entered into with Orbital, a French company ("Orbital"), as of the date of such acceptance (the "Effective Date").

1. License and Limitations

Orbital grants the Customer, for the duration of the Agreement, a non-exclusive, non-transferable, non-assignable, personal, limited, and worldwide license to access and use the Platform strictly for internal purposes. Any other use is prohibited without prior written authorization from Orbital.

The Customer agrees in particular not to:

- Copy, modify, translate, decompile, disassemble, or attempt to extract the source code of all or part of the Platform
- Distribute, rent, sublicense, or make the Platform available to any third party;use the Platform for illegal purposes or in violation of applicable regulations
- Introduce viruses or any malicious code;use generated data ("Output Data") to train a model that competes with Orbital
- Include personal data in data provided to the Platform ("Input Data"), unless agreed in writing and subject to a signed Data Processing Agreement (DPA)
- Share their Platform login credentials.

2. Trial Period

Orbital may grant the Customer free access for a trial period of fourteen (14) days. After this period, continued use of the Platform triggers a payment obligation under the chosen pricing plan.

3. Subscription and Payment

Applicable rates are those indicated at the time of registration or in any accepted purchase order. All amounts are expressed in euros, excluding taxes. No refunds will be granted in the event of early termination. In the event of non-payment, Orbital reserves the right to suspend access and charge late payment penalties.

4. Account and Usage Limits

The Customer is responsible for the accuracy of information provided when creating their account. An account is strictly personal and may not be shared. Any quota overrun must be the subject of a specific request, and Orbital may propose appropriate pricing.

5. Data

The Customer retains ownership of Input Data but grants Orbital a free, worldwide, and irrevocable license to use such data for the following purposes:

- Providing the Platform
- Improving its algorithms
- Analyzing trends in an aggregated and anonymized manner

The Customer warrants that Input Data does not infringe any third-party rights or legal provisions. Where personal data is present, the Customer undertakes to comply with the GDPR and any applicable law, to obtain required consents, and to sign a DPA upon request.

6. Results and Artificial Intelligence

The Customer understands that the Platform generates automated predictive results using probabilistic algorithms, which may be inaccurate or similar across multiple users. The Customer is solely responsible for evaluating, validating, and using these results, and undertakes not to use them for automated decision-making with legal effect.

7. Intellectual Property

The Customer retains ownership of Output Data, with the exception of the underlying model, algorithms, and the Platform itself, which remain the exclusive property of Orbital. Any feedback or suggestions submitted by the Customer shall be deemed freely and irrevocably assigned to Orbital.

8. Open Source Software

The Platform may incorporate open source components subject to their own licenses. Orbital disclaims any liability related to such components.

9. Limited Warranty

Orbital warrants that the Platform will function in accordance with the documentation provided. In the event of a material non-conformity, Orbital may, at its discretion, correct, replace, or terminate the Agreement. Beyond this warranty, the Platform is provided "as is" without any other express or implied warranty.

10. Liability

Orbital's liability is limited to one hundred (100) euros, for all damages combined. Orbital shall under no circumstances be held liable for indirect damages (loss of data, revenue, reputational harm, etc.).

11. Confidentiality

Each party undertakes not to disclose the other party's confidential information, except as required by law. These obligations shall survive the termination of the Agreement. Orbital may publicly reference the existence of its contractual relationship with the Customer (name, logo), unless the Customer objects in writing.

12. Term and Termination

The Agreement is entered into for the duration specified in the chosen offer. Either party may terminate it in the event of a material breach not remedied within 30 days. Upon termination, the Customer shall cease all access to the Platform and delete all copies.

13. Governing Law and Jurisdiction

The Agreement is governed by French law. In the event of a dispute, exclusive jurisdiction is granted to the courts of Paris.

14. Miscellaneous

Orbital may amend these Terms of Service with 30 days' prior notice. In the event of force majeure, Orbital shall not be held liable for non-performance. No failure or delay by either party in enforcing its rights shall constitute a waiver. The Customer may not assign the Agreement without Orbital's prior written consent.

In accordance with Article 6 of Law No. 2004-575 of June 21, 2004 on confidence in the digital economy.

All content on www.getorbital.ai (text, images, graphics, logo, icons, videos, software) is the exclusive property of ORION.AI or its partners and is protected by French and international intellectual property laws.Any reproduction, representation, modification, publication, or adaptation of all or part of the site's content, by any means or process, is prohibited without the prior written authorization of ORION.AI.

4. Personal Data Protection

The terms governing the collection and processing of personal data are described in our Privacy Policy.In accordance with the GDPR, you have the right to access, rectify, delete, restrict, port, and object to the processing of your personal data.
